About these terms

These Terms of Service ("Terms") govern your use of the websites, software and services provided by THB - The House of Business ("THB", "we", "us"), including the THB Reach customer communication platform at reach.thb.com.bd. By creating an account, connecting a business asset, or otherwise using our services, you agree to these Terms and to our Privacy Policy. If you use our services on behalf of a business, you confirm that you are authorised to accept these Terms for that business.

Our services

THB operates a number of divisions, including visa processing, translation and localization, travel, study abroad, recruitment and technology services. THB Reach is a software platform that lets businesses manage customer conversations, contacts, orders and messaging over the WhatsApp Business Platform and other channels. Specific services may be subject to additional written agreements, quotations or offer letters, which take precedence over these Terms where they conflict.

Accounts

Each client account is given a unique client ID and the date of joining is recorded; please quote your client ID in any communication with us. You must provide accurate information when registering and keep your login details secure. You are responsible for all activity under your account, including actions taken by staff members you add. Tell us promptly at info@thb.com.bd if you believe your account has been accessed without permission.

WhatsApp and Meta

THB Reach connects to the WhatsApp Business Platform, which is provided by Meta Platforms, Inc. and its affiliates ("Meta"). When you connect your WhatsApp Business Account through our signup flow, you authorise THB to access and manage that account on your behalf, solely to provide the features you use, such as sending and receiving messages, managing message templates and registering phone numbers.

Your use of WhatsApp through our platform is also subject to Meta's terms and policies, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. Meta may review, limit or disable your WhatsApp Business Account or phone numbers under its own policies; THB does not control those decisions. You may disconnect your WhatsApp Business Account from THB Reach at any time from your settings or from Meta Business Suite.

Your responsibilities

What you may and may not do with our services is set out in detail in our Acceptable Use Policy, which forms part of these Terms. In particular, you agree that you will:

• obtain valid opt-in consent from each person before sending them WhatsApp messages, and honour opt-out requests promptly;
• not send spam, deceptive, unlawful, harassing or harmful content, or content prohibited by Meta's policies;
• comply with all laws that apply to your business and communications, including the laws of Bangladesh and of the countries where your recipients are located;
• not attempt to access other customers' data, disrupt the platform, or reverse-engineer our software.

Your data

You own the customer data, contacts, messages and records you bring to or create in THB Reach. We process that data only on your instructions and to provide, secure and support the service. Each business's data is kept separate from other customers' data, and access tokens issued by Meta are stored in encrypted form. We do not sell your data or your customers' data, and we do not use it for advertising. How we handle personal information is described in our Privacy Policy.

Fees and payment

Paid services are charged at the price shown at signup or in your quotation. THB Reach subscriptions are billed monthly in advance. WhatsApp message charges set by Meta are billed separately from the subscription. Where a money-back guarantee is offered, its conditions are stated at the time of purchase. Unpaid balances may lead to suspension of the service.

Billing, suspension and restoration are automatic. We send reminders before each renewal date. If payment is not received within 3 days after the due date, sending from your account is suspended automatically without further notice; incoming messages continue to be stored. When the outstanding amount is paid through our payment page, the service is restored automatically, usually within minutes. If an account remains unpaid for 90 days, we may close it and delete its data after giving notice to the registered email address.

We may change our prices to reflect changes in our costs, including charges set by Meta or other providers. We will notify you by email or in the platform at least 30 days before a new subscription price applies to you, and you may cancel before it takes effect. Changes to Meta's message charges apply from the date Meta introduces them.

The first 20 subscribers to THB Reach ("founding members") pay a founding price of ৳1,990 per month for their first 12 months of continuous subscription. This price is fixed for those 12 months even if the regular price changes. After the 12 months the regular subscription price applies, and we will remind founding members at least 30 days before the founding period ends. If a founding member cancels during the 12 months, the founding price ends and does not resume on a later subscription.

Suspension and ending

You may stop using our services and close your account at any time. We may suspend or end your access if you breach these Terms, if required by law or by Meta, or if your use puts other customers or the platform at risk. Where practical we will give notice first. After closure you may request an export of your data for 30 days, after which it is deleted as described below.

Data deletion

To request deletion of your account data, or of data obtained through your connected WhatsApp Business Account, email info@thb.com.bd from the address registered on your account, with the subject "Data deletion request". We will confirm receipt and complete deletion within 30 days, except for records we are legally required to keep, such as invoices and accounting records. Disconnecting your WhatsApp Business Account revokes our access to it immediately.

Liability

THB provides technology only. You are solely responsible for the messages you send, the content you publish, the products and services you offer, the contacts you message and any transactions with your customers. THB does not review your messages before they are sent and is not responsible for them, or for any action Meta, a regulator or any other party takes because of them.

We work to keep our services available and accurate, but they are provided "as is" and may occasionally be interrupted, including because of outages at Meta or other third parties. To the extent permitted by law, THB is not liable for indirect or consequential losses, lost profits, or losses caused by third-party services, and our total liability for any claim is limited to the fees you paid us for the relevant service in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold harmless THB, its directors, employees and partners from any claim, demand, penalty, fine, loss or expense (including reasonable legal fees) arising from your use of the services, your messages or content, your products or services, your breach of these Terms or the Acceptable Use Policy, or your breach of any law or third-party right. This includes claims by your customers, by Meta, and by any government or regulatory authority.

Governing law

These Terms are governed by the laws of the People's Republic of Bangladesh. The courts of Dhaka have jurisdiction over any dispute, and we will first try in good faith to resolve any disagreement by discussion.

Changes

We may update these Terms from time to time. The effective date at the top of this page shows when they last changed. For material changes we will notify account holders by email or in the platform before they take effect. Continuing to use the services after that means you accept the updated Terms.
